Start with the next vest event#
A four-year equity schedule can distract from the immediate choice. Begin with the next date that would materially change what you own. Confirm whether employment must continue through the beginning or end of the date and whether termination, notice, leave, or payroll status changes the outcome.

Compare identical time windows#
Suppose the next vest is 45 days away. The current job pays $140,000 annually, the new job pays $165,000, and waiting preserves $8,000 of employer match, $18,000 of quoted RSUs, and a $6,000 bonus. The new employer offers a $5,000 signing bonus.
The relevant window is today through day 45:

Convert the difference into a negotiation target#
The most useful result may be the additional make-whole amount. It states how much more gross signing compensation would make leaving now tie through the vest date. That creates three concrete requests:
- Move the start date until after vesting.
- Replace the forfeited amount with a signing bonus or grant.
- Increase annual pay enough to recover the loss over the short window.
Ask how a signing payment is taxed and whether it has a repayment clause. A bonus that must be repaid after an early departure is not equivalent to unconditional cash.
Keep career factors outside the arithmetic#
A positive result for waiting does not automatically mean stay. The offer may expire, the new role may provide stronger long-term growth, the current workplace may be untenable, or health coverage and relocation timing may dominate.
